Contest Terms & Conditions
These Terms and Conditions apply to the Ripples Instagram Contest featured in the NRA 2019 Trade Show in Chicago, IL (the “Contest”) by Ripples Ltd. (“Ripples”).
By entering the Contest, the Entrants accept these Terms and Conditions together with any specific instructions and terms for such Contest which may be mentioned from time to time. If an Entrant does not accept these terms and Conditions, they cannot participate in the Contest or be eligible for the Prize offered in this Contest.
- ELIGIBILITY
The Contest is open to all participants in the NRA 2019 Trade Show which will be held in Chicago, IL, who are eighteen (18) years of age or older, excluding employees, officers, directors, successors and assigns of Ripples and their immediate families (spouse, parents, siblings, and children) which are not eligible to enter (the “Entrant”).
Entrant must own a genuine Instagram account in order to participate in the Contest.
The Entrant’s Instagram Account must be public in order to enter the Contest.
- CONTEST PERIOD
The Contest shall commence on May 18, 2019 at 9:30 AM CDT and shall conclude on May 21, 2019 at 11:59 PM CDT (“Contest period”). Entries that are submitted before or after the Contest period shall be disqualified.
- CONTEST RULES, CONTEST WINNER AND PRIZE
In order to enter the Contest, Entrant is required to upload an Instagram Story to his/her Instagram Account, from the Ripples Booth, which shall be located in the NRA 2019 trade show, and add the following hashtag: #wheredrinksgoviral and mention the @drinkripples account.
By entering the contest, the Entrant gives his/her consent to Ripples to use the media he/she has created on Ripples Instagram Account, Website and other Social Media.
The most creative Instagram Story (visual and content) uploaded by an Entrant shall be the Contest winner and shall receive the Prize (“Contest Winner”).
The Contest Committee, which shall be comprised of three members of Ripples HQ (CEO, Head of Marketing and Creative Director) (“Contest Committee”), shall select and announce the Contest Winner upon its sole discretion up to 9 business days from the conclusion of the Contest Period (i.e. May 30, 2019).
The Contest Winner shall be announced on Ripples’ Instagram Account as a Story and on Ripples’ Website (http://drinkripples.wpengine.com). The Contest Committee’s decision shall be final and will not be appealable.
The Contest Winner shall receive a free Ripple Maker (AM or PM), 1 year of free service plan (Enhanced Plan) and 2 Ripple Pods (the “Prize”) upon Ripples’ sole discretion. In the event that the Prize shall not be available for supply, Ripples may replace the Prize with a different prize of the same value. The Contest Winner Shall be responsible for all taxes associated with the receipt of the Prize. The Contest Winner is aware that in order to continue operating the Ripple Maker, he/she must purchase Pods and a service plan from Ripples. Ripples’ service and warranty will only be available in North America, Mexico, Europe, Australia, Japan, China, Hong Kong, Israel and the United Arab Emirates.
The Contest Winner shall receive the Prize via mail to the address provided by the Contest Winner at the time of the winner announcement.
Prizes may not be resold or offered for resale (including via online auction sites). If the Prize is sold or used in breach of this condition, Ripples may, at its absolute discretion, withdraw that Prize. Where a Prize or any part of a Prize has been withdrawn in accordance with this clause no refund, substitute or compensation will be offered and the Contest Winner and any person who has purchased or otherwise bears that Prize will be refused service.
Ripples may disqualify any Entrant from participating in the Contest for any reason, including false information, and the disqualified Entrant shall have no claims against Ripples.
Ripples may photograph and video the Prize winning and or the Prize receipt and publish such photo or video on the Internet and any other media. The consent of the Entrant to participate in the Contest shall be considered as his/her Consent to be photographed or videotaped as mentioned.
- ENTRANT’S WARRANTIES AND REPRESENTATIONS
By submitting an entry, each Entrant warrants and represents that the entry (a) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (b) does not violate any law or regulation.
- PRIVACY AND PUBLICITY
Except where prohibited, participation in the Contest constitutes the Entrant’s consent to the use his/her name, media creation, likeness, voice, opinions and biographical information for promotional purposes in any media without payment or consideration.
- LIABILITY
By participating in the Contest, Entrants agree to release and hold Ripples and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any loss, damage whether direct, indirect, special, consequential or claim or cause of action arising out of participation in the Contest or receipt or use of the Prize, including, but not limited to: (a) any technical errors that may prevent an Entrant from submitting an entry; (b) unauthorized intervention in the Contest by a third party; (c) fraud or any other cause beyond Ripples control which corrupts or affects the entry, security, fairness, integrity or proper conduct of the Contest; (d) lost, late or misdirected data; (e) errors in the administration of the Contest or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or receipt of any prize.
Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering, if any, and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees.
Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
- GENERAL CONDITIONS
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Ripples may, at its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest; (b) disqualify any individual tampering with the entry process.
In the event of a dispute as to any entry, the authorized account holder used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an Instagram Account.
This Contest and Terms and Conditions shall be governed by and construed under the laws of the State of Israel. The sole and exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts of the State of Israel.
Ripples may cease the Contest at any time or announce any change of content, structure, rules, prizes and the distribution of the prizes at any time without prior written notice upon its sole discretion, and the Entrant shall have no claim toward Ripples.
Ripples may amend these Terms and Conditions at its sole discretion. Any amendments will be posted within these terms and Conditions.
In the event of any discrepancy between these Terms and Conditions and other publication, these Terms and conditions shall prevail.
